Legal Status and Foundation

Fundacion Mama Ties is a legally established stichting under the laws of Aruba, founded on 22 December 2022 and registered with the Aruba Chamber of Commerce under number S1961.0

The foundation operates as an independent, non-profit entity with its own governance and financial oversight. It maintains a close connection to its founding values and long-term commitment to community development in Aruba.

Purpose of the Foundation

The foundation exists to improve the quality of life for individuals with mental and/or intellectual disabilities.

In line with the official statutes, the foundation aims to:

  • promote, improve, and contribute to a higher quality of life for people with physical and or intellectual disabilities

  • operate strictly as a non-profit organisation, with any financial surplus reinvested into its mission

Activities & Scope

To achieve its purpose, the foundation undertakes and supports activities including:

  • raising funds for the benefit of individuals with physical and or intellectual disabilities

  • providing support and financial assistance for medical care in Aruba

  • collaborating with and supporting organisations, institutions, and foundations with similar objectives, both locally and internationally

  • undertaking any activities that are connected to or supportive of its mission in the broadest sense

Governance & Board

The foundation is governed by a board of directors, which is responsible for the overall management and direction of the organisation.

The board’s responsibilities include:

  • setting the strategic direction of the foundation

  • safeguarding the mission and values

  • approving budgets and overseeing financial management

  • supervising partnerships, assets, and key initiatives

  • ensuring compliance with applicable laws and the foundation’s statutes

Board members act in a fiduciary capacity and serve the interests of the foundation and its beneficiaries.

Board Composition & Roles

The board consists of at least one member and determines its own size and composition.

The board appoints from among its members:

  • a chair

  • a secretary

  • a treasurer

Board members are appointed in a personal capacity and must be at least 18 years old. They serve for an indefinite period unless they resign or are removed in accordance with the statutes

Board members do not receive remuneration but may be reimbursed for reasonable expenses incurred in the performance of their duties.

Decision Making

Decisions are taken collectively by the board in accordance with the procedures set out in the statutes.

This includes decisions relating to:

  • allocation of funds and grants

  • strategic partnerships

  • use of assets and facilities

  • annual plans and activities

Each board member has one vote. Decisions are typically made by majority vote, with specific matters requiring a qualified majority as defined in the statutes.

Meetings

The board meets at least once per quarter, and more frequently if required.

Meetings are formally convened, and minutes are recorded and maintained. Decisions may also be taken in writing where appropriate.

Financial Management

The foundation’s financial resources consist of:

  • initial capital

  • donations and contributions

  • grants and subsidies

  • proceeds from fundraising activities

  • other lawful income

All funds are used exclusively to support the foundation’s charitable objectives.

The financial year aligns with the calendar year. Annual accounts are prepared and approved by the board.

Transparency & Accountability

Fundacion Mama Ties is committed to transparency and responsible governance.

The foundation:

  • maintains accurate financial and operational records

  • reports on its activities and use of funds

  • shares relevant information with partners, donors, and stakeholders where appropriate

Amendments & Continuity

The board has the authority to amend the statutes, subject to the requirements set out in the deed of incorporation, including qualified majority approval and formal notarial execution

In the event of dissolution, any remaining assets will be applied in line with the foundation’s purpose.
